LaborNexa customer terms

These terms apply to organizational customers in the initial United States paid pilot.

Effective date: September 20, 2026. These terms do not become effective for a customer before publication and that customer's acceptance. Contracting entity: LaborNexa Systems, Inc., a Delaware corporation. Mailing address: PO Box 683, Blue Bell, PA 19422. Contact: hello@labornexa.com.

1. Your organization and this agreement

These terms govern the organization's subscription to LaborNexa. The person accepting them represents that they have authority to bind the organization. The organization is responsible for its authorized users and designates an administrator to manage access. An individual member does not become the subscription customer merely by using a member account.

The accepted order identifies the subscribed plan, price, billing interval and included services. A signed agreement expressly varying these terms controls the specified conflict. A separately executed data-processing agreement controls conflicting instructions about processing customer personal information. The privacy notice explains information handling; it does not expand the service purchased.

2. Service and authorized use

LaborNexa provides tools for maintaining grievance and representation cases, documents, deadlines, assignments and related records. Availability of additional modules and integrations depends on the accepted order and account configuration. Future roadmap items, demonstrations and unpublished plans are not included promises. Professional and website-hosting offerings are excluded from this initial pilot unless separately agreed.

During an active subscription, authorized users may access the purchased service for the organization's lawful operations. Do not share individual credentials, access another organization's records without authorization, evade permissions, introduce malicious files, interfere with service availability or use the service unlawfully. Report suspected account compromise promptly.

3. Professional judgment and deadlines

LaborNexa supplies software, not legal representation or professional advice. The organization determines its applicable agreements, procedures, deadlines, authority to represent employees and filing requirements. Authorized representatives must verify contract rules, holidays, triggering dates, extensions, submissions and receipt evidence. Preparing a next step is not submission to an employer. A provider accepting an email is not proof that its intended recipient received or read it.

Review generated documents and selected exhibits before disclosure. Internal notes are excluded from the employer packet, but users remain responsible for what they add to externally shared documents. Software use does not create attorney-client privilege or eliminate disclosure obligations. Maintain an appropriate independent means of protecting time-sensitive rights during interruptions.

4. Customer records and confidentiality

The organization retains its rights in submitted records. It authorizes LaborNexa and necessary service providers to process those records to deliver, secure, back up and support the service, comply with lawful requirements and follow authorized instructions. This permission is not a transfer of ownership or permission to sell case files.

The organization is responsible for lawful collection and disclosure, required notices and permissions, accurate access assignments and recordkeeping instructions. Submit only information necessary for the service. Do not submit payment-card security codes, account passwords, or information requiring a special regulatory arrangement unless LaborNexa has expressly agreed to that arrangement.

Each party will protect nonpublic information received from the other using reasonable care, restrict access to people with a legitimate need and confidentiality obligations, and use it only for this agreement. This does not cover information lawfully public, independently developed, previously known or lawfully obtained elsewhere. Disclosure required by law is permitted, with notice where legally allowed.

LaborNexa uses access controls, tenant-scoped permissions and audit records. No system is risk-free. LaborNexa will notify the organization of a confirmed security incident affecting customer records without undue delay and no later than five business days after confirmation, unless applicable law or a lawful investigation temporarily prevents notice. An initial notice may be preliminary; LaborNexa will provide material updates as reasonably available.

5. Optional integrations and AI

An authorized connection may send information needed for that feature to an external provider. The organization must review its permissions and authorize the information shared. Providers' services and terms may apply separately.

Current AI assistance requires review of selected source material and generated results. AI can misstate facts, quotations or interpretations. Do not rely on it alone to determine deadlines or individuals' rights. Enabling an AI feature does not authorize every sensitive document for external processing. No zero-retention, data-residency or privileged-processing guarantee is made by these terms. Feature-specific disclosures identify the applicable workflow.

6. Subscription and payment

Subscriptions renew monthly at the accepted price until cancelled. The organization authorizes the payment processor to charge the accepted recurring amount and applicable taxes disclosed at checkout. Changes to Standard pricing require at least 30 days' advance notice and apply no earlier than a subsequent renewal; the organization may cancel before the change takes effect.

Founding is $79 per month for eligible organizations within the first five paying unions overall; Standard is $149 per month. Test payments do not consume live Founding places. Selecting Standard still counts toward the first-five threshold and does not itself enroll the organization in Founding. Checkout availability and payment confirmation determine eligibility. Temporary checkout reservations are not completed purchases.

The Founding rate continues during an uninterrupted eligible subscription, including the approved payment-recovery grace period. When the subscription ends following cancellation, that rate ends; a later return uses the then-current Standard price. A cancelled customer's historical place is not reopened as a new Founding place.

Failed payment has a 14-calendar-day recovery grace before manual account-access review. The grace-period start is the first failed collection of that unpaid renewal; subsequent retries do not restart it. Billing failure does not automatically delete records or lock users out. Before a discretionary billing suspension, LaborNexa will contact the administrator and review the account. Security restrictions under section 9 are separate. Outstanding authorized charges remain due.

7. Cancellation, refunds and export

An authorized administrator may request cancellation by emailing hello@labornexa.com. LaborNexa confirms the effective date in writing. Requests received before renewal stop the next renewal; cancellation takes effect at the end of the paid billing period, with access continuing through that period. The request receipt time controls even if staff process it later. A renewal charged after a timely cancellation request will be refunded. No special wording or telephone call is required. Account cancellation does not cancel a grievance or notify an employer.

Paid periods are otherwise nonrefundable, with no prorated refund for unused time, except as required by law, for duplicate or incorrect charges, or as otherwise agreed in writing. Refund requests may be submitted to the contact above.

You may request one free standard encrypted export through 30 calendar days after paid service ends. LaborNexa removes operational customer records by day 60 after service ends, after fulfilling timely export requests and resolving applicable preservation requirements. Residual backups expire within 90 days after active deletion (normally no later than 150 days after service ends). Minimal billing and agreement-acceptance records are retained for seven years from active deletion; a non-identifying record of a consumed Founding place remains. Documented preservation requirements can extend the affected retention period. Support handles verified requests; this does not promise self-service export or continued ordinary access after service ends. A platform recovery backup is never supplied as a customer export.

8. Support and availability

Support requests go to hello@labornexa.com. Support hours are Monday through Friday, 9:00 a.m. to 5:00 p.m. Eastern Time. Requests can be submitted outside these hours and are reviewed during support hours. Support hours do not guarantee a particular response or resolution time. Unless a separate service-level agreement expressly provides otherwise, no uninterrupted availability, fixed restoration time or service credit is promised. Planned maintenance and third-party outages may interrupt access. LaborNexa will use reasonable efforts to address reported material defects; new features and custom development require separate agreement.

9. Suspension and termination

LaborNexa may restrict access when reasonably necessary to address unauthorized access, harmful activity or legal requirements. It will limit restrictions where practicable and notify the organization where permitted. Ordinary payment issues follow section 6's manual review. Either party may terminate for a material breach not cured within 30 days after written notice, except when immediate action is reasonably required for security or law. Record-return and retention obligations survive as agreed under section 7.

10. Warranties, liability and disputes

Each party represents it has authority to enter this agreement. LaborNexa will provide the service with reasonable care and skill. Except for express promises and nonwaivable legal rights, it does not guarantee a particular case outcome, complete error-free operation, or suitability for an undisclosed special purpose.

To the extent permitted by law, neither party is liable for indirect or consequential losses; aggregate liability is limited to fees paid or payable under this agreement for the preceding 12 months. Claims concerning confidentiality, security incidents, gross negligence and any indemnification obligations remain subject to that cap. The limitation does not cover fraud, willful misconduct or liability that cannot lawfully be limited.

LaborNexa will defend and indemnify the organization against third-party claims that the service, when used as authorized, infringes a United States intellectual-property right. The organization will defend and indemnify LaborNexa against third-party claims arising from customer records, unlawful customer instructions, or use of the service in violation of this agreement. The protected party must provide prompt notice, reasonable cooperation and control of the defense to the protecting party. A settlement may not admit fault by or impose a nonmonetary obligation on the protected party without its written consent. These obligations remain subject to the aggregate liability cap above.

Parties will first attempt good-faith resolution through their designated contacts. These terms do not require mandatory arbitration or include a class-action waiver. Nothing restricts rights or remedies that applicable law makes nonwaivable.

This agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties agree that disputes must be brought in the state or federal courts located in Delaware, subject to any nonwaivable legal rights.

11. Changes and notices

Material changes require advance notice to the administrator and will not retroactively remove accrued rights. Provide at least 30 days' notice, with an opportunity to cancel before the change applies. Notices may be sent to the designated account contact; keep that information current. Applicable law controls any additional consent requirements. Failure to enforce a provision once is not a waiver. An unenforceable provision does not invalidate the remainder where law permits.
